2022 SOCIAL MEDIA VIDEO CONTEST
Sponsor: This contest is sponsored by Via Transportation, Inc., 10 Crosby Street, Floor 2, New York, NY 10013 (“Via” or the “Sponsor”).
Contest Period: The Ride Via Arlington Contest (the “Contest”) begins at 10am Eastern Standard Time (“EST”) on January 13th, 2022 and ends at 11:59pm EST on February 4th, 2022 (the “Contest Period”).
Eligibility: The Contest is open to all users of Via Arlington and Arlington RAPID services, in Arlington, TX, who are eighteen (18) years or older at the time they enter the Contest. To qualify, users must submit their video entry in its entirety by February 4th, 2022 at 9am CST . The video entry must be a video showcasing how the user uses the Via-powered service which is posted to the user’s social media profile which includes a designated hashtag: #rideViaArlington and/or #rideArlingtonRAPID. Such videos may be recorded from inside the vehicle while the user is taking a ride with the service, recorded while the user is undergoing the process of booking a ride, and/or recorded to depict the user’s reactions directly before or after taking a ride with the service.
The user-generated video content must be published to either TikTok or Instagram. If posting on TikTok, the user must allow viewers to download their video. If posting on Instagram, the user must post their video on a public account which gives Via and other viewers the ability to view, share, and embed the post.
Employees, officers, and directors (including immediate family members and members of the same household) of Sponsor or its affiliated companies, parent companies, subsidiaries, and advertising and promotion agencies, and any other entities associated with this Contest (collectively, “Released Parties”), are not eligible to participate. Sponsor, in its sole discretion, shall determine the eligibility of participants.
Sponsor, in its sole discretion, shall determine whether the user has met the Eligibility requirements. Each user who submits a video entry share hereinafter be referred to as an “Entrant”.
Sponsor may disqualify entries if the entry and related submissions includes inappropriate, offensive, discriminatory, profane, abusive, obscene, maliciously false, or other derogatory language or information. Sponsor reserves the right to remove, reject, or disqualify (along with the Entrants who submitted them) any entry which, in its sole opinion, (a) violates any of these terms, the terms of service and privacy policy of TikTok or of Instagram or the terms of use of the Via Arlington rideshare program (available at the following link: https://orenviastaging.wpengine.com/terms-of-use/), (b) infringes, misappropriates, or violates any rights of any third party including, without limitation, patent, copyright, trademark, trade secret, or right of privacy or publicity, or (c) is otherwise inappropriate for inclusion in the Contest. Sponsor may also disqualify entries if the entry and related submissions include information that causes material reputational harm to Via’s brand or that is in contravention of these terms or conditions.
Entrant may not submit an entry on behalf of someone else. By submitting an entry, Entrant represents and warrants that Entrant meets all eligibility criteria for participation in the Contest. In addition, by submitting an entry in this Contest, Entrant grants the Sponsor an irrevocable, perpetual, non-exclusive worldwide license to publish, post, display, copy, distribute, transmit, edit, use alone, together or with other works, and otherwise exploit the Entrant, Entrant’s name, voice, persona, likeness, image, prize information, any quotes attributable to Entrant, biographical data and any other indicia of persona in any manner whatsoever throughout the world, including on the Internet, and at any time or times, in connection with the Contest, in any and all forms of media, now known or hereafter discovered, without additional compensation, review or approval rights, notification or permission, except where prohibited by law, and Entrant releases all Released Parties from any and all liability related thereto. ENTRANT FURTHER ACKNOWLEDGES THAT IF ENTRANT IS CHOSEN AS A WINNER, ENTRANT’S IDENTIFYING INFORMATION, INCLUDING BUT NOT LIMITED TO ENTRANT’S NAME, MAY BE DISCLOSED TO THIRD PARTIES INCLUDING, WITHOUT LIMITATION, BEING PLACED ON A WINNERS’ LIST.
A Qualified Participant can only be counted once towards the Contest.

Winner Selection and Notification: 3 winners will be selected, at Via’s sole discretion and through internal deliberation, based on Via’s judgement of the quality Qualified Participant’s submission, as well as the submission’s overall view count, from the pool of Entrant submissions on February 8th, 2022.
Potential winners will be notified by direct message and/or a comment on their winning video. Potential winner will have 3 days from the time of receiving notification from Via to confirm acceptance of the prize. If a potential winner does not confirm acceptance of the prize via direct message, email, or comment in a timely manner, they will forfeit the prize. Sponsor also reserves the right to disqualify a potential winner deemed ineligible (or who otherwise does not qualify to become a Winner) and select another Winner.
Winner may be required to sign an affidavit of eligibility, liability release, and a publicity release.
Prize: The prize is a $50 Amazon gift card or $50 in ride credit. The prize from the Contest will be awarded within thirty (30) days of the end of the Contest Period.
By accepting the prize, the Winner agrees to release the Sponsor and Released Parties from any and all liability whatsoever for any injuries, losses, or damages of any kind caused by entering the Contest or for damages of any kind caused by any prize or resulting from acceptance, possession, or use/misuse of prize awarded. No substitution, assignment or transfer of the prize is permitted, except by Sponsor, who has the right to substitute a prize with another of the prizes listed, or a prize of comparable or greater value. Winner will be responsible for paying all costs and expenses related to the prize that are not specifically mentioned, including, but not limited to, taxes, any other expenses that might reasonably be incurred by the winner in receiving or using the prize.
Use of Data: Sponsor will collect personal data about Entrants including Instagram and TikTok handles, phone numbers, e-mail addresses and information about Entrants in accordance with the Via Arlington Terms of Use and Privacy Policy. Entrants may review Sponsor’s Privacy Policy at the following link: http://orenviastaging.wpengine.com/privacy-policy/. By participating in the Contest and providing this information, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Via Arlington’s Rider Terms of Use and Privacy Policy.
Terms & Conditions: This Contest is subject to all applicable federal, state, and local laws. By entering the Contest, Entrants agree to release, discharge, indemnify and hold harmless Sponsor, the Released Parties, TikTok, Instagram, and each of their respective directors, officers, employees, shareholders and agents from any and all liability, loss, damage or injuries to any person (including death) or property of any kind sustained in connection with their participation in the Contest or from their acceptance, receipt, possession and/or use or misuse of the prize, or for any typographical or other error in the printing, offering or announcement of the prize. Entrants further acknowledge that said parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee express or implied, in fact or in law, relative to the prize, including, but not limited to, its quality or fitness for a particular purpose. Any person attempting to defraud or in any way tamper with the Contest mechanics and/or implementation will be prosecuted to the fullest extent of the law. By participating, Entrants agree to be bound by these rules (the “Official Rules”) and the decisions of the Sponsor, and waive any right to claim ambiguity in the Contest or these Official Rules. Sponsor reserves the right to disqualify any Entrant that Sponsor determines, in its sole discretion, violates these Official Rules.
Limitations of Liability: Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest in whole or in part, at any time, without notice. Sponsor reserves the right to award prizes using all non-suspect eligible entries received as of, or after (if applicable) this cancellation, termination, modification or suspension date, or in any manner that is fair and equitable. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sponsor is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Contest or the downloading of any materials in this Contest. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR MOBILE APP OR UNDERMINE THE LEGITIMATE OPERATION OF THE Contest IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
Disputes: THESE OFFICIAL RULES AND THE CONTEST ARE GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE OFFICIAL RULES SHALL BE IN THE COUNTY OF NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK. ANY SUCH CONTROVERSY OR CLAIM WILL BE ARBITRATED ON AN INDIVIDUAL BASIS, AND WILL NOT BE CONSOLIDATED IN ANY ARBITRATION WITH ANY CLAIM OR CONTROVERSY OF ANY OTHER PARTY. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK, NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
No Affiliation with Social Media Sites: This Contest is in no way sponsored, endorsed or administered by, or associated with Instagram, TikTok, or any other social media website on which it may be promoted. Each Participant releases each such platform from any and all liability in connection with this Contest.
